1. Acceptance of Terms
By creating an account, accessing, or using the SkillLink platform (collectively, the "Services"), you agree to abide by these Terms of Service. If you do not agree, you must not use or access the Services.
If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Account Eligibility & Responsibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account. Creating an account with false information is a violation of our terms and will result in immediate termination.
- Identity Verification: We reserve the right to require identity verification using government-issued documents before activating critical features like job posting or Escrow initialization.
- Security: You are solely responsible for maintaining the confidentiality of your credentials. SkillLink is not liable for unauthorized account access resulting from your failure to protect your login specifics.
3. Platform Role & Limitations
SkillLink functions as a technology marketplace platform connecting Job Seekers with Employers, and Service Customers with Service Providers.
Independent Contractors
SkillLink is not an employer, broker, agent, or insurer for any user. Service Providers operate as independent contractors, not as employees of SkillLink.
We do not guarantee the quality, safety, or legality of the services provided by users, the truth or accuracy of user listings, or the ability of users to complete transactions.
4. Escrow, Fees & Payments
The platform utilizes an independent financial escrow system for gig and service bookings.
- Escrow Holds: Customers must fund the agreed amount into Escrow before a Provider commences work. These funds are held securely and released only upon the Customer's documented approval of the final deliverable.
- Commissions: SkillLink deducts its platform commission fee strictly at the time of payout or successful employment contract signing. All fee percentages are documented on our active Pricing page.
- Taxes: Users are responsible for determining, filing, and paying any applicable local, state, or federal taxes associated with earnings generated strictly through the platform.
5. User Conduct & Prohibited Activities
You agree not to engage in any of the following activities:
- Attempting to bypass the platform's payment infrastructure to avoid commission fees (circumvention).
- Posting fraudulent, misleading, discriminative, or illegal job/service listings.
- Harassing, threatening, or abusing any other user or SkillLink staff member.
- Scraping, reverse-engineering, or deploying automated bots against the platform API without explicit written consent.
Violations will result in immediate account termination, escrow forfeiture, and potential legal action.
6. Intellectual Property
The Platform infrastructure, code, logos, and proprietary algorithms belong exclusively to SkillLink. You retain full ownership of any portfolios, resumes, job descriptions, or content you upload to your profile. By uploading, you grant us a limited, worldwide license to display and distribute this content strictly for the purpose of operating the Services.
7. Account Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and without prior notice or liability. You may delete your account at any time through your dashboard settings. Upon deletion, any pending escrow disputes must be resolved before residual funds are cleared.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SKILLLINK BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.
9. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding, individual arbitration in the State of Delaware, rather than in court. You agree to waive any right to a jury trial or to participate in a class action lawsuit.
